CHESTER COUNTY ANTIQUE CAR CLUB BY-LAWS AS REVISED 04-04-2012

ARTICLE I - NAME AND PURPOSE

Sec. 1. This organization shall be known as the Chester County Antique Car Club.

Sec. 2. The purpose of this club shall be to foster interest in the collection and preservation of motorized vehicles of all types and ages/years, as well as to perpetuate the lore and memories of early automobiling.

Sec. 3. the affairs of the club shall be conducted in a manner to enable any individual to derive financial benefit using the club name. The club as a whole reserves the right to organize, or take part in, a profit-making venture.


ARTICLE II - OFFICERS AND DIRECTORS

Sec. 1. The elected officials of the club shall be a President, Vice President, Secretary, and Treasurer and six Directors.

Sec. 2. The term of office shall be for one year with the privilege of re-election to a consecutive term.

Sec. 3. The term of Director shall be for two years. Three Directors will be elected each year.


ARTICLE III - EXECUTIVE COMMITTEE

Sec. 1. The executive committee is empowered to transact routine club business and shall be comprised of the Club officers and directors and the past President..

Sec. 2. The minutes of the Executive Committee meetings shall be read at the next regular meeting of the members at large.

Sec. 3. Any member in good standing is welcome to attend any executive meeting, but without right to vote thereat.


ARTICLE IV - COMMITTEES

Sec. 1. The following committees will be appointed by the President:

Sec. 2. The Executive Committee will be responsible for defining the make-up and responsibilities of these committees. Committees may be added or deleted at the discretion of the Executive Committee.


ARTICLE V - MEETINGS

Sec. 1. The Executive Meeting shall be held on the third Tuesday of each month as needed.

Sec. 2. The regular monthly meeting of the CCACC shall be held on the fourth Tuesday of each month.

Sec. 3. The Secretary will record a count of those present at each meeting and a record shall be kept of their names.


ARTICLE VI - Membership

Sec. 1. Annual dues for members shall be recommended by the Executive Committee with the approval of the general membership.

Sec. 2. Honorary members may be elected from time to time and shall not pay dues, vote, nor hold office, but shall be welcome to attend any or all meetings and club functions.

Sec. 3. Applicants for membership shall submit their club membership application and annual dues for consideration of the Executive Committee.

Sec. 4. Applications for membership will be processed at the Executive Committee meeting following submission of the application at a regular monthly meeting.

Sec. 5. Applicants will be notified of their acceptance and will be required to attend a regular meeting for formal recognition of their membership.

Sec. 6. Members in active military service shall not be required to pay dues and shall retain full membership privileges.

Sec. 7. Any officer or member may be removed from office or membership upon a petition signed by a majority of the members of record.

Sec. 8. Any member with a consecutive 30-year membership will be entitled to a paid-up lifetime membership with full privileges.

Sec. 9. Annual dues for members must be paid by December 31st of the current year or they will be dropped from membership as of January 31st of the new year. Any membership dues received after December 31st of the current year and until January 31st of the new year must include a surcharge equal to 50% of the annual dues. Membership dues received after January 31st of the current year shall be considered as a new application and the applicant must meet all requirements for new membership.


ARTICLE VII - ELECTION OF OFFICERS

Sec 1.  

a.  The President shall appoint a three-member nominating committee.

b.  Two members shall be former officers.

c.  The Nominating Committee shall present at the October meeting a slate of officers for the coming year.

d.  The slate shall be presented to the floor with nominations from the floor after which nominations will be closed.

Sec. 2.

a.  If a contest exists in any office, the Secretary shall mail ballots to all members.

b.  Ballots are to be returned to the secretary for an official count prior to the November election.

Sec. 3.

The President shall appoint three tellers to count the ballots.

Sec. 4.

a.  Officers will be announced at the November meeting.

b.  The newly announced officers will assume their duties at the January meeting.


ARTICLE VIII - CLUB EVENTS

Sec 1.  The programs and/or the conduct of members at all times shall in no way cause unfavorable comment nor reflect adversely upon the Club nor upon the hobby in general.

Sec. 2.  Invitations requesting Club participation in public events shall be referred to the Executive Committee.

Sec. 3.  The Club shall not participate as a group in any activity intended for publicity and fund raising without approval by a majority of those present at the meeting at the time the vote is taken.

Sec. 4.  News releases of Club activities may be submitted to the Club for approval; such shall not be given without sanction of the Executive Committee.

Sec. 5.  The Executive Committee shall maintain in force a comprehensive liability and property damage insurance policy of the type known as "non ownership automobile" for the protection of all officers and members of the Club for liability arising solely due to such membership and official capacity.

Sec. 6.  At the discretion of the Executive Committee, any member may be required to submit a certificate of insurance in specified amounts covering such members' automobiles.  Refusal of a member to comply with such a request shall be deemed basis for expulsion from the Club.


ARTICLE IX - TERM AND AFFILIATION

Sec 1.  The Club, at a regular monthly meeting, shall not affiliate with, or become associated with, any other organization unless two-thirds of those members present, at a meeting previously announced at two regular monthly meetings, approve.

Sec. 2.   The Club, at a regular monthly meeting, shall not become dissolved unless two-thirds, or a majority of those present, at a meeting previously announced at two regular monthly meetings approves.


ARTICLE X - AMENDMENTS TO THE CONSTITUTION

Sec 1. Amendments or revisions to the Constitution must be approved by a vote of two-thirds of all members present at a regular monthly meeting which has been previously announced at two regular monthly meetings.


ARTICLE XI - AMENDMENTS TO THE CONSTITUTION

Sec 1.  All monies collected are intended to be used for Club purposes.

Sec. 2.  Any request for gifts, donations, or other non-club use of funds must be reviewed by the Finance Committee, recommended by the Executive Committee, and approved by two-thirds of those members present at a regular monthly meeting previously announced at two regular monthly meetings.
